1. Agreement to Terms

By accessing or using ForIT LLC's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.

2. Description of Services

ForIT LLC provides the following categories of services:

Consulting Services

Fractional Chief Information Officer (CIO) services, technology consulting, and related IT services. These include:

• Strategic technology planning and roadmapping
• Vendor management and optimization
• System integration and architecture design
• Digital transformation initiatives
• IT governance and compliance support

Software Products (SaaS)

Cloud-based software products built on Microsoft 365, including but not limited to:

• ForIT Productivity — email and task automation for Microsoft 365 (inbox rules, recurring tasks, AI-powered email processing, MCP server)
• Power Platform connectors — integrations for Power Automate and Power Apps
• Custom automation tools — Azure Functions-based workflow automation

Software products require a Microsoft 365 account and are accessed via web dashboards, APIs, or AI assistant integrations (MCP).

3. Professional Services Agreement

Consulting services will be governed by a separate Professional Services Agreement (PSA) that outlines scope of work, deliverables, timeline, fees, and specific terms applicable to your engagement.

4. SaaS Product Terms

Account and Access

• You must have a valid Microsoft 365 account to use our software products
• You are responsible for maintaining the security of your account credentials and API keys
• You may connect one or more Microsoft 365 tenants to your ForIT account
• You may generate up to 5 API keys for programmatic access

Microsoft 365 Permissions

Our software products require delegated Microsoft 365 permissions to function. By connecting your tenant, you authorize ForIT to access your Microsoft 365 data as described in our Privacy Policy. You can revoke these permissions at any time by disconnecting your tenant or removing the app from myapps.microsoft.com.

Data Ownership

You retain full ownership of your data. Your inbox rules, recurring schedules, and automation configurations are stored as SharePoint list items on your own OneDrive/SharePoint site — not in our database. We process your data solely to provide the services you have configured. When you disconnect or delete your account, your data is removed from our systems as described in our Privacy Policy.

API Usage

• API access is rate-limited to prevent abuse
• You must not share API keys or use them in a way that violates these terms
• We may revoke API keys that are used to circumvent rate limits or abuse the service
• API keys are hashed in our database — we cannot recover a lost key

Service Availability

We strive for high availability but do not guarantee uninterrupted service. Our software runs on Azure serverless infrastructure and depends on Microsoft 365 APIs. Outages in either Microsoft Azure or Microsoft 365 may affect service availability. We will make reasonable efforts to notify users of planned maintenance.

5. SMS/Text Messaging Terms

Opt-In Method and Call to Action

By submitting a form on our website that includes your phone number, or by providing your phone number verbally to a ForIT LLC representative and giving your consent, you agree to receive text messages from ForIT LLC at the number provided. These messages may include account notifications, appointment reminders, service updates, and general communications related to our services.

• Message Frequency: Varies based on your interaction with our services
• Cost: Message and data rates may apply depending on your mobile carrier plan
• Opt-Out: Reply STOP to any message to unsubscribe
• Help: Reply HELP for assistance
• Privacy: Your phone number will not be shared with third parties for marketing. See our Privacy Policy.

Standard Message Responses

When you reply HELP, you will receive: "Thank you for reaching out to ForIT LLC. Please call us at your provided contact number or email us for support, or visit forit.io. Reply STOP to opt-out. Message and data rates may apply."

When you reply STOP, you will receive: "You have opted out of this conversational SMS service and will not receive further messages from this ForIT LLC number. Reply START to resume. Message and data rates may apply."

6. AI Chat Assistant

Service Description

Our website and software products feature AI-powered assistants powered by Anthropic's Claude API. These are designed to answer questions, provide information, and assist with tasks.

Limitations and Disclaimers

• No guarantee of accuracy: AI may provide incorrect, incomplete, or outdated information. Do not rely on AI responses for business decisions.
• Not professional advice: AI responses are informational only and do not constitute legal, financial, or professional advice.
• Third-party processing: Your messages are transmitted to Anthropic's Claude API. Anthropic does not retain API inputs/outputs for model training.
• Conversations may be logged: Your interactions may be recorded for quality improvement.

User Responsibilities

When using AI features, you agree:

• Not to share passwords, financial account numbers, or other sensitive credentials
• Not to share protected health information (PHI) or other regulated data
• Not to use AI features for illegal or harmful purposes
• To verify important information through official channels before acting on it

7. Software Products Disclaimer

Disclaimer of Responsibility

FORIT LLC TAKES NO RESPONSIBILITY FOR ANY DAMAGES, LOSSES, DATA BREACHES, SECURITY INCIDENTS, BUSINESS INTERRUPTION, OR OTHER HARM ARISING FROM THE USE OF OUR SOFTWARE PRODUCTS. YOU USE THESE PRODUCTS ENTIRELY AT YOUR OWN RISK.

Limitation of Liability for Software Products

YOU ACKNOWLEDGE THAT FORIT SOFTWARE PRODUCTS ARE EXPERIMENTAL AND USE THEM AT YOUR OWN RISK. FORIT LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL FORIT LLC BE LIABLE FOR ANY DATA LOSS, SECURITY BREACH, OR DAMAGES ARISING FROM THE USE OF OUR SOFTWARE PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO SOFTWARE PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT IN QUESTION.

Acceptable Use

You agree not to use ForIT software products to process highly sensitive data (including but not limited to: protected health information, payment card data, or classified information) without implementing additional security controls and accepting full responsibility for compliance with applicable regulations.

8. Account Termination and Data Deletion

Your Right to Terminate

You may delete your account at any time through the application or by contacting us. Upon deletion, all data associated with your account is permanently removed from our database, including linked tenants, OAuth tokens, API keys, logs, and rule metadata. This action is immediate and irreversible.

Our Right to Terminate

We may suspend or terminate your access to our services if you violate these terms, abuse the service, or use it in a way that threatens the security or availability of the platform for other users. We will make reasonable efforts to notify you before termination except in cases of egregious abuse.

9. User Responsibilities

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of your account credentials and API keys
• Comply with all applicable laws and regulations
• Not use our services for any illegal or unauthorized purpose
• Not attempt to access other users' data or circumvent multi-tenant isolation
• Not exceed published rate limits or abuse API access
• Cooperate with ForIT LLC to enable successful service delivery

10. Intellectual Property

ForIT Property

All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are the exclusive property of ForIT LLC and are protected by intellectual property laws.

Client Property

You retain all rights to your pre-existing intellectual property and your data. Any custom work product created specifically for you under a PSA will be addressed in that agreement.

11. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the business relationship. This obligation survives the termination of services.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORIT LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to ForIT LLC in the twelve (12) months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless ForIT LLC, its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these terms.

14. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising out of or relating to these terms or our services shall first be addressed through good faith negotiations. If unresolved, disputes shall be settled through binding arbitration in Massachusetts.

16. Modifications

We may update these terms from time to time. When we make material changes, we will:

1. Update the "Last Updated" date at the top of this page
2. Notify active users via email or in-app notification

We will not retroactively reduce your rights without your consent.

17. Severability

If any provision of these terms is held to be unenforceable, the remaining provisions shall continue in full force and effect.
