License terms for ForIT software, MCP servers, and SaaS products

This End-User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("you," "your," or "Licensee") and ForIT LLC ("ForIT," "we," "us," or "Licensor") governing your access to and use of ForIT's software, including its Model Context Protocol (MCP) server(s), APIs, connectors, web dashboards, and other software-as-a-service products (collectively, the "Software"). Please read it carefully.

1. Acceptance of this Agreement

By installing, connecting to, accessing, or otherwise using the Software — including by configuring an MCP client or AI assistant to call a ForIT MCP server, by generating or using an API key or ingest token, or by clicking "accept" where presented — you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization. If you do not agree, you may not access or use the Software.

This Agreement governs the license to use the Software. Your use of ForIT's services is also subject to our Terms of Service and Privacy Policy, which are incorporated by reference. Where this Agreement and a separately signed Professional Services Agreement or Master Subscription Agreement conflict, the signed agreement controls.

2. Definitions

  • "Software" means ForIT's MCP server(s), APIs, software connectors, dashboards, command-line and library components, documentation, and any updates or modifications we make available.
  • "MCP Server" means a ForIT server that implements the Model Context Protocol to expose tools and resources to a client AI assistant or MCP host that you operate or authorize.
  • "MCP Client" means the AI assistant, application, or host that you use to connect to and invoke a ForIT MCP Server.
  • "Your Data" means the content, credentials, configurations, and other data you submit to or process through the Software, including data retrieved from systems you connect (such as Microsoft 365).
  • "Documentation" means the usage guides, READMEs, and reference materials we provide for the Software.

3. Grant of License and Scope

Subject to your continuous compliance with this Agreement, ForIT grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software for your internal business purposes during the term of this Agreement. This license includes the right to connect an MCP Client you control to a ForIT MCP Server and to invoke the tools and resources it exposes, solely for the legitimate operation of your own systems and accounts.

The Software is licensed, not sold. ForIT and its licensors retain all rights not expressly granted to you under this Agreement. No license is granted to any source code of the Software except where expressly provided under a separate open-source license that accompanies a specific component.

4. Permitted Use

You may:

  • Use the Software to automate and manage your own accounts, tenants, and data, and the accounts you are authorized to administer;
  • Connect MCP Clients, API keys, and ingest tokens that you control to the Software, and configure tools and workflows for your own use;
  • Permit your employees, contractors, and authorized agents to use the Software on your behalf, provided you remain responsible for their compliance with this Agreement;
  • Use the Documentation as reasonably necessary to exercise the license granted above.

5. License Restrictions

Except as expressly permitted by this Agreement or by applicable law that cannot be contractually waived, you must not, and must not permit any third party to:

  • Copy, modify, translate, or create derivative works of the Software;
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, or structure of the Software;
  • Sell, resell, rent, lease, sublicense, distribute, host as a service, or otherwise commercially exploit the Software for the benefit of any third party, except as expressly authorized in writing by ForIT;
  • Remove, obscure, or alter any proprietary notices, trademarks, or labels on the Software;
  • Circumvent or attempt to circumvent authentication, rate limits, usage quotas, multi-tenant isolation, or other technical access controls;
  • Share, expose, or use API keys, ingest tokens, or MCP credentials in violation of this Agreement, or use them to access data or accounts you are not authorized to access;
  • Use the Software to build, train, or improve a competing product or service, or to benchmark it for that purpose;
  • Introduce malicious code, or use the Software in any way that threatens the security, integrity, or availability of the Software or other users;
  • Use the Software in violation of any applicable law, regulation, or third-party right.

6. Acceptable Use

You are responsible for all activity conducted through your credentials, MCP Clients, API keys, and ingest tokens. You agree not to use the Software to:

  • Access, process, or store data you are not authorized to access;
  • Send unlawful, infringing, defamatory, or harmful content, or unsolicited bulk communications;
  • Process highly sensitive or regulated data (including protected health information, payment card data, or government-classified information) without implementing additional safeguards and accepting full responsibility for compliance with applicable regulations;
  • Interfere with, overload, or disrupt the Software, its infrastructure, or connected services such as Microsoft 365 or third-party AI providers;
  • Attempt to gain unauthorized access to any system, account, or data.

We may suspend or limit access without notice where we reasonably believe such action is necessary to protect the Software, its users, or third parties from harm.

7. Intellectual Property

The Software, including all MCP servers, APIs, code, designs, logos, trademarks, and Documentation, and all intellectual property rights therein, are and remain the exclusive property of ForIT LLC and its licensors. This Agreement does not transfer any ownership rights to you.

You retain all rights to Your Data. You grant ForIT a limited, non-exclusive license to host, process, and transmit Your Data solely as necessary to provide the Software and the features you configure, and as further described in our Privacy Policy. If you provide ForIT with feedback or suggestions about the Software, you grant ForIT a perpetual, royalty-free license to use that feedback without restriction or obligation to you.

8. Data and AI Processing

Our handling of Your Data is described in detail in our Privacy Policy, which forms part of this Agreement. In summary, and consistent with that policy:

  • Transient processing. Data sent through a ForIT MCP Server or API — including tool-call arguments and results — is processed to fulfill your request and to return results to your MCP Client. ForIT does not retain the content of tool-call payloads in its database beyond what is necessary to complete the request and to maintain activity logs (which record the action and timestamp, not full content, and are retained for the periods stated in the Privacy Policy).
  • ForIT runs no model on your content. A ForIT MCP Server is an interface to tools and resources; it does not itself operate a large language model. The AI model that issues tool calls is the model in your MCP Client/host, which you select and control, and which is governed by that provider's terms and privacy policy.
  • ForIT's own AI features. Where you invoke a ForIT feature that uses AI (such as classification or summarization), the relevant content is transmitted over an encrypted connection to ForIT's AI provider, Anthropic (Claude API), processed in real time, and returned. Anthropic does not retain API inputs or outputs after processing.
  • No training on your data. ForIT does not use Your Data to train, fine-tune, or develop any machine-learning models. Anthropic does not use API inputs or outputs to train its models.
  • Your responsibility. You are responsible for what your MCP Client sends to and requests from the Software, and for ensuring that your use complies with your own legal and contractual obligations.

9. Third-Party Services

The Software interoperates with third-party services, including Microsoft 365 and Microsoft Graph, Microsoft Azure infrastructure, and Anthropic's Claude API, and may interoperate with the MCP Client and AI host you choose. Your use of those services is governed by their respective terms and privacy policies. ForIT is not responsible for the availability, security, or acts or omissions of any third-party service, and outages or changes in those services may affect the Software.

10. Disclaimer of Warranties

Important Notice: Software Provided "AS IS"

ForIT software products are developed using rapid, AI-assisted development methodologies. The Software:

  • Is provided "AS IS" and "AS AVAILABLE" without warranty of any kind
  • May contain bugs, errors, or security vulnerabilities
  • Should not be relied upon for mission-critical operations without independent security review
  • Is not guaranteed to be secure, uninterrupted, or error-free

Our pricing reflects this risk profile. These products are recommended for organizations with higher risk tolerance or non-production use cases. Customers requiring security guarantees should engage our consulting services for custom, audited solutions.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FORIT LLC DISCLAIMS ALL WARRANTIES, CONDITIONS, AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. FORIT DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

FORIT LLC TAKES NO RESPONSIBILITY FOR ANY DAMAGES, LOSSES, DATA BREACHES, SECURITY INCIDENTS, BUSINESS INTERRUPTION, OR OTHER HARM ARISING FROM YOUR USE OF THE SOFTWARE. YOU USE THE SOFTWARE ENTIRELY AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FORIT LLC OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, WHETHER ARISING IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF FORIT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

FORIT'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FORIT FOR THE SPECIFIC SOFTWARE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

You agree to indemnify and hold harmless ForIT LLC and its officers, directors, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your use of the Software or your breach of this Agreement.

12. Term and Termination

This Agreement is effective when you first access or use the Software and continues until terminated. You may terminate it at any time by ceasing all use of the Software, disconnecting your tenants, and revoking your API keys and ingest tokens.

ForIT may suspend or terminate your license immediately if you breach this Agreement, abuse the Software, or use it in a way that threatens the security or availability of the Software for others. We will make reasonable efforts to notify you before termination except in cases of egregious abuse or where prohibited by law.

Upon termination, the license granted to you ends and you must stop using the Software. Sections concerning Intellectual Property, Data and AI Processing, Disclaimer of Warranties, Limitation of Liability, Governing Law, and General Provisions survive termination. Deletion of Your Data on termination is handled as described in our Privacy Policy.

13. Changes to this Agreement

We may update this Agreement from time to time. When we make material changes, we will:

  1. Update the "Last Updated" date at the top of this page; and
  2. Where practicable, notify active users via email or in-app notification.

Your continued use of the Software after a change takes effect constitutes acceptance of the revised Agreement. We will not retroactively reduce your rights without your consent.

14. Governing Law and Dispute Resolution

This Agreement is governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict-of-law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Any dispute arising out of or relating to this Agreement shall first be addressed through good-faith negotiation. Failing resolution, the parties submit to the exclusive jurisdiction of the courts located in Ontario, Canada, and waive any objection to venue in those courts.

15. General Provisions

  • Entire Agreement. This Agreement, together with the Terms of Service, Privacy Policy, and any signed agreement between us, is the entire agreement regarding the Software and supersedes prior understandings on that subject.
  • Severability. If any provision is held unenforceable, the remaining provisions continue in full force and effect.
  • No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Assignment. You may not assign this Agreement without our prior written consent. We may assign it in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
